DATA AND FACTS ABOUT CNPJ

In Brazil, the National Registry of Legal Entities (CNPJ) is a unique number that identifies a legal entity and other types of legal arrangements (such as condominiums, public agencies, investment funds) with the Federal Revenue Service (Receita Federal do Brasil - RFB).

The CNPJ encompasses the registration information of entities relevant to the tax administrations of the Union, States, Federal District, and Municipalities. It represents an evolution from the former General Taxpayer Registration (Cadastro Geral de Contribuintes - CGC).

The registry functions as an identity and includes:

• Date of establishment
• Name of the company
• Business name or trade title
• Main and secondary economic activity codes and descriptions
• Legal nature code and description
• Address
• Email and phone number
• Registration status

CNPJ registration occurs at the establishments level, each receiving the same basic identification number as the respective headquarters, supplemented by a specific identifier for each establishment. Each establishment contains various attributes: registration number, business name, corporate structure, address, date of establishment, legal nature, classification as headquarters or branch, domicile, tax jurisdiction, primary and secondary economic activities, registration status, responsible party for CNPJ matters, etc.

The registration statuses under CNPJ are categorized as follows:

• ACTIVE: The entity or establishment will be classified as ACTIVE when it does not fall under any other registration status.
• INACTIVE: An entity's CNPJ registration will be declared inactive in cases such as:
  • a) Omitted: required but failed to submit declarations for two consecutive periods;
  • b) Not located: cannot be found at the address provided in the CNPJ;
  • c) Irregularities in foreign trade operations.
• SUSPENDED: The registration will be classified as SUSPENDED when:
  • a) A request for cancellation is pending review or has been denied;
  • b) It is under a process declaring it inactive due to irregularities;
  • c) Temporarily ceases activities;
  • d) There are signs of fraudulent interposition regarding partners or owners;
• CANCELLED: The registration will be classified as CANCELLED when a cancellation request has been approved or if officially cancelled.
• NULL: The registration will be considered NULL when declared so for various reasons.
